Todd Doors Image Bank - Terms of Use
1.1 All acceptance forms must have been received by no later than 7th September 2011. Should we not be in receipt of this completed paperwork by this date then we will accept that you do not/no longer agree to our Terms of Use and instruct you to discard the 2011/12 Image Bank and remove previous versions of our images (if applicable) from the public domain by the 30th September 2011.
1.2 If applicable, If you have provided 3rd party companies with our previous Image Banks, in whole or part, then please instruct them to remove them from the public domain with immediate effect.
1.3 All companies, whether previously authorised or not, that are displaying un-watermarked Todd Doors images, either online or in-store, after the 30th September 2011 will be vigorously pursued by our Legal Department in accordance with these revised Terms or Use.
1.4 We will be rescinding our permission for use on all previous versions of our Image Banks as of 7th September 2011. Please update your records and ensure that all un-watermarked images are removed from the public domain by no later than the 30th September 2011. Legal action will be taken against all remaining users after this date.
1.5 By signing the Digital Asset Agreement (D.A.A) you understand and accept that the value of the Todd Doors image banks currently stands at £10,000 ex VAT.
1.6 Unauthorised users of either our watermarked images or previously un-watermarked images accept they will be subject to legal proceedings to the value of £125.00 ex VAT per unauthorised asset (per image) plus reasonable costs and incurred legal fees. (Maximum claim £10,000 + VAT plus reasonable costs and incurred legal fees)
1.7 Authorised users of the Todd Doors Image Bank agree that should Todd Doors discover any improper use of their Digital Asset or any other plagiarism from their website or literature that Todd Doors will take immediate legal action against them and can without notice or explanation withdraw their permission to use the Image Bank with immediate effect.
1.8 By signing the D.A.A you agree that you, your company, or a representative of your organisation have not and will not provide Todd Doors Digital Asset, or copies of, to any 3rd parties.
1.9 You agree that where unauthorised users of the Todd Doors Image Banks, whether in whole or part, are identified that the Todd Doors Legal Department will contact them directly, without notice, in order to issue formal legal proceedings against them. Todd Doors will accept no claims for costs incurred/loss of business as a direct result of this legal action.
2.0 You understand that images on the Todd Doors website do not form part of the image bank and are therefore not authorised for use or reproduction.
2.1 All images within the Todd Doors image Bank remain the property of Todd Doors at all times.
2.2 Todd Doors reserve the right to withdraw our permission for use of our Image Bank at any time without prior notice, explanation or financial responsibility.
2.3 Where images are displayed on the internet you must re-title them accordingly in accordance with your own part numbers. This also applies to the naming of products online and part numbers.
2.4 You understand that by adapting or changing the watermarked images in any way is a violation of this agreement and by doing so will not make the adapted/adjusted image your property. The distribution of adapted/adjusted images is also a violation of this agreement and for which the Todd Doors Legal Department will take action against inline with this agreement.
